Key player in $6 million venture’s acquisition by a $100 million software enterprise. Responsible for fulfilling due diligence requests, financial analysis, and assistance related to the purchase agreement. Includes post-acquisition integration management. Acquisition closed in 36 days from preliminary term sheet to closing. Orchestrated $5 million Series B venture capital financing that included current and new investors; despite 2009 recession, co-negotiated with CEO a 48.5% increase in the stock price of company. Drove fundraising activities by providing strategic and operational planning; created 5-year financial models, prepared and edited corporate business plan, managed legal documentation process, provided numerous introductions to potential investors, participated in investor meetings and maintained stock options and capitalization tables. Creatively assisted in closing sales and leveraging alternative financing sources including a R&D tax credit sale and loan. Successfully assisted in having company placed on federal GSA schedule. As Vice President, officer and management team member with direct reporting relationship to CEO, oversaw internal finance and administrative activities; responsible for audited financials and all transactions, generation of monthly financial report and scorecard-based dashboard for stakeholders (management, bank, VCs), compilation of narrative and financials for quarterly Board of Directors report. Served as negotiator, company liaison and point person related to contracts, vendors, outside counsel, auditors, investors, banking and lending relationships; also managed portfolio of trademark filings. Oversaw and complete corporate governance materials and duties including Board Packages, Board Minutes and Resolutions, Interim and Year-End Financials, Cap Tables, Option Tables, Debt Documents, Insurance Documents, Financial Models and Reports, Equity Financing, H1-B and Green Card filings. Directed annual audit and tax work completed consistently receiving a ‘clean’ audit opinion during tenure. Working knowledge of FASB’s and other pronouncements that impact emerging companies including, SOP 97-2; SFAS’s123R, 141R, 142, 143, 157, 5; FIN 47 and 48.
Early-on employee for this CRM Systems Integrator start-up, with direct reporting relationship to the CEO; instrumental in managing company through a dynamic cycle of growth and recession that included workforce expansion to over 60 employees with a revenue run rate of $6 million by the end of the first year. Assisted CEO with Angel and bank fundraising, including financial modeling and recruitment of numerous Angel investors that resulted in over $3.4 million in funding from private, public, and bank sources. Member of the senior management team; prepared and presented quarterly results and forward-looking projections to the Board of Directors; wrote strategic business plans for Finance and IT departments; and successfully renegotiated terms with key customers and vendors as necessary. Served as Practice Manager in launch of BEA Systems practice, a middleware software program used for client implementations; the launch required development of a strategic business plan, establishing partnership relationship with BEA, budgeting, recruiting consultants, preparing press releases, attending BEA System’s User Week and training sales force on BEA value-added propositions. Successfully initiated and maintained accounting controls and standardized procedures to improve corporate efficiencies that support quick scalability; received a ‘clean’ audit of financials from Ernst & Young.
